Julius Berger Nigeria Plc has announced a closed period restricting company insiders from trading in the company’s shares, effective October 1, 2025, as the construction giant prepares to release its third-quarter financial results.
The trading blackout, mandated under Nigerian Exchange Limited (NGX) regulations, will prevent designated insiders from dealing in the company’s equity until 24 hours after the unaudited financial statements for the quarter ending September 30, 2025, are submitted to the exchange.
In a statement on Tuesday, the company secretary, Cecilia Madueke, outlined the restrictions in a statement to the market, explaining the regulatory framework governing the closure.
“By the provisions of the amended Rule 17.18, Period of Closure, issued by Nigerian Exchange Limited (NGX), the closed period in respect of the submission of the Unaudited financial statements for the quarter ending 30 September 2025 (2025, Q3 UFS) will commence on 1 October 2025 and up to 24 (twenty-four) hours after the 2025, Q3 UFS is submitted to The Exchange via its Issuers’ Portal,” Madueke said.
She emphasized the broad scope of individuals affected by the restriction, noting that the blackout applies to all company insiders across Julius Berger’s operations.
“In the light of the above, all who receive the notice of closed period, who are considered ‘Insiders’ in Julius Berger (Julius Berger includes Julius Berger Nigeria Plc and all its subsidiaries) under the provisions of the Companies and Allied Matters Act, 2020 (CAMA), the rules and regulations of the Securities and Exchange Commission (SEC) and the NGX, are under restriction not to trade or deal in the equity of the Company,” she stated.
The Company Secretary confirmed the duration of the restrictions, adding, “The Closed Period shall remain until twenty-four (24) hours after the 2025, Q3 UFS results are released to the public.”
In related developments, Julius Berger disclosed that its Board Audit Committee is scheduled to convene on October 30, 2025, to review the third-quarter financial statements.
“Furthermore, the market is hereby informed that the Board Audit Committee of Julius Berger Nigeria Plc will meet on October 30, 2025, to consider the 2025 Q3 UFS. The unaudited financial results will be released in accordance with the published Release Calendar. The SEC is being advised of the issuance of this notice,” Madueke concluded.
The closed period is a standard practice designed to prevent insider trading and ensure market integrity during sensitive periods when company executives and other insiders have access to material, non-public financial information.
