Strategy Inc., the software company led by billionaire Michael Saylor, has announced plans to raise approximately €620 million ($715 million) through the issuance of its 10% Series A Perpetual Stream Preferred Stock, known as STRE. The funds will be used to expand company operations and increase its Bitcoin holdings, reinforcing Saylor’s long-standing belief in Bitcoin as a strategic asset.
The offering, scheduled to close on November 13, 2025, follows strong investor interest that pushed the total value far beyond the company’s earlier €350 million target. The company will issue 7.75 million shares at €80 each, with net proceeds expected to reach about €608.8 million ($702.2 million) after deducting fees and expenses. The figures are based on an exchange rate of €1 to $1.1534, as reported by the firm.
Strategy Inc. said the proceeds will support its day-to-day operations, business expansion, and further Bitcoin accumulation. The company is already recognised as one of the largest corporate holders of Bitcoin, having steadily increased its holdings over the past few years. This latest fundraising reflects its continued confidence in the long-term potential of digital assets, despite market volatility.
Each STRE share carries a 10% annual dividend, with quarterly cash payments scheduled for March 31, June 30, September 30, and December 31, beginning December 31, 2025. In the event of a missed dividend, the rate will increase by 1% each quarter until it reaches a cap of 18%. This structure, the company said, provides an attractive yield to investors seeking steady income alongside exposure to a Bitcoin-linked enterprise.
Investors also enjoy protective terms. In the event of a merger, acquisition, or sale of Strategy Inc., shareholders have the right to request a buyback of their shares at €100 per share, plus any unpaid dividends. The shares also include a €100 liquidation preference, which adjusts daily in line with market movements to preserve value.
A consortium of major financial institutions — including Barclays, Morgan Stanley, Moelis & Company, TD Securities, Canaccord Genuity, and StoneX Financial — will manage the offering. The securities are registered with the U.S. Securities and Exchange Commission (SEC) but will be available only to qualified investors in Europe and the United Kingdom.
